PART 1. About These Merchant Terms & Conditions. Olpays Payment Processing Services.

1.1. Agreement. This Payment Processing Services Agreement, and the agreements, policies, and documents incorporated herein, (this “Agreement”), is entered into by and between OLP SOLUTIONS LLC (referred to herein as “Olpays”, “we”, or “our”) and the merchant entities or individuals (each, the “Merchant” or “you”) who register with Olpays to use the Services (as defined below).

1.2. Effective Date. This Agreement contains the terms and conditions governing your use of the Services and becomes a legally binding contract and is effective as of the earliest date (the “Effective Date”) you do any of the following:

Create an Olpays Account (as defined below) on our website;

Accept this agreement online; or

Begin using the Services.

1.3. The Services. The “Service(s)” refer to the Payment Processing Services, Gateway Services, and International Transfers & Payments Services offered by Olpays and defined as follows:

(a) “Payment Processing Services” means the payment processing services we offer to facilitate merchants receipt of payment (or donations) by credit cards, debit cards, and any other methods that may facilitate payment on a website or mobile application. These services include Gateway Services, fraud protection tools, recurring billing functionality, payment card storage, foreign currency acceptance, customer support, and other services, software, APIs and technology as described on the Olpays website. These services may not be available or offered in certain locations as a result of licensing and other legal requirements.

(b) “Gateway Services” means the gateway services offered by Olpays which provide Merchants with the software and connectivity required to allow real-time secure data transmission for processing of credit and debit card payments on a website or mobile application.

(c) “International Transfers Services” means the services, offered by Olpays to certain corporate clients as an agent of partner financial institutions, facilitating Automated Clearing House (ACH) transfers, international bank transfers and local bank transfers through a single payments platform. These services may not be available or offered in certain locations as a result of licensing and other legal requirements.

(d) “Prepaid Cards Services” means the access to Visa and Master Card prepaid cards marketed by Olpays solely in conjunction with business partners who act as the “primary participants” and “providers” of the prepaid access programs. These services may not be available or offered in certain locations as a result of licensing and other legal requirements.

1.4. Changes to or Discontinuation of the Services. Olpays may discontinue any of the Services at any time and may add or remove one or more payment types or networks at any time. If we do so we will use reasonable efforts to give you prior notice of the removal or discontinuance.

1.5. Updates and Software to Use Services. We reserve the right to require you to install or update any and all updates to our API and other software to continue using the Services.

1.6. Customer Service. We will provide you with customer service to resolve issues relating to your Olpays Account, use of the Services, and distribution of funds to you or your payees by interacting with our financial institution partners. Merchants maintain sole responsibility for providing service to their customers for any and all issues related to your products and services, including but not limited to issues arising from the processing of customers’ cards through the Services.

1.7. Our Role in Conjunction with our Business Partners. Olpays does not assume any liability for products or services purchased by customers of Merchants using the Services. Further, we de not assume any liability for the conduct of our Business Partners whose relationship with Merchants is governed by applicable law and any separate terms and conditions governing your use of these partners services in connection with their roles as primary providers of the International Transfers Services and Prepaid Card Services.

1.8. Amendment. We have the right to change or add to the terms of this Agreement at any time, and to change, delete, discontinue, or impose conditions on any feature or aspect of the Services or software with notice that we in our sole discretion deem to be reasonable in the circumstances, such as by publishing this information on out website. Any use of the Stripe Services or software after our publication of any such changes will constitute your acceptance of this Agreement as modified.

1.9.Arbitration. This Agreement contains an arbitration clause (below) that obligates you and Olpays to submit any claims you may have against one another to binding and final arbitration. Also, the clause restricts any rights you have to trial by jury or as a plaintiff or class member in any class or representative action or similar proceeding.

1.10. Capitalized Terms and Definitions. Capitalized terms used herein have the meanings assigned to them throughout the text of this Agreement or in the definitions section below in Exhibit A. The meanings given to terms defined herein are equally applicable to both the singular and plural forms of such terms.

1.11. Privacy Policy and Acceptable Use Policy. By accepting this Agreement, you also agree to be bound by our Privacy Policy and Acceptable Use Policy, which are set forth below, respectively, as Exhibit B and Exhibit C and are incorporated herein by this reference.

PART 2. Receiving Payments. Sending Payments. Fees, Settlement and Taxes.

2.1 Authorization to Handle Funds and Receive Payment. You authorize us to hold, receive, and disburse funds on your behalf when funds from your card transactions settle from the “Card Networks” or “Associations” (companies such as Mastercard, American Express, Visa or similar) or when you request us to transmit funds (including via Prepaid Cards) to third parties or between accounts. As your agent for receiving payments, our receipt of funds from your customers constitutes delivery of payment to you. Therefore, you cannot subsequently hold the customer responsible for any failure of ours to deliver payment. You also authorize Olpays to instruct (a) the banking institutions where we hold your funds and (b) the Business Partners through which we provide any of the Services to you on how (e.g. whether by wire transfer or prepaid card) these funds should be disbursed to you or your payees. Your funds will be held in a deposit account pending their disbursement to you or your payees in accordance with this Agreement. These authorizations remain in full force and effect until your Olpays Account is fully closed pending termination of this Agreement. Merchant agrees it is not entitled to any interest or other compensation associated with any Merchant funds held by Olpays pending final settlement pursuant to your instructions, whether by deposit in your designated bank account or disbursement to third-party payees. Merchant has no right to direct the deposit account where funds are held awaiting settlement and Merchant may not assign any interest in any deposit account where Olpays holds client funds.

2.2. Customer and Credit Card Authorizations. Identity Verification. Reversals. Merchants may only request payment processing when authorized by their customers. Olpays will only process transactions that the applicable Card Network or card issuer authorize. You are solely responsible for verifying the identity of your customers, ensuring that they have authorized the transaction, and determining their eligibility to purchase your products and services. Olpays does not guarantee or assume any liability for transactions authorized and completed that are later reversed or charged back. Solely Merchants are responsible for all reversed or charged back transactions, regardless of the reason for, or timing of, the reversal or chargeback.

2.3. Information in Advance of Settlement. From time to time, we may make information available to you regarding anticipated settlements received on your behalf from the Card Networks pending final settlement. This information does not constitute a binding representation of settlement amounts owed to you, nor does it represent a deposit or any other kind of obligation to you of Olpays or of any financial institutions with whom we collaborate to provide the Services. All information in advance of settlement is for reporting purposes only and does not entitle you to ownership or other rights in the settlement funds, until they are credited to your Bank Account or disbursed to you or your payees by other lawful means, which may be agreed by you and Olpays. Your authorizations set forth herein will remain in full force and effect until your Olpays Account is closed or terminated.

2.4. Fees. In exchange for our Services, you agree to pay us fees as set forth below on Exhibit D, which is incorporated herein by this reference. We reserve the right to revise the fees we charge you at any time upon advance notice of thirty (30) calendar days.

2.5. Overdue Fees. If at any time Merchants owe overdue fees to Olpays for any reason, such as Chargebacks, interest shall accrue at the lower rate of 1.5% per month, or the maximum amount permitted by law, on all overdue amounts. If you have a good faith dispute as to the amounts due, you nonetheless agree to pay the undisputed amounts. Interest shall not accrue on any amounts disputed in good faith as long as you pay such amounts within twenty (20) calendar days after resolution of the dispute.

2.6. Payment of Fees, Payments and Right to Set-off. Subject to the terms of this Agreement, upon your instructions, Olpays will either (a) send to your Bank Account all amounts due to you from your Transactions or (b) transmit fees to your payees according to your instructions (if allowed by applicable law), after deducting any fees, Reversals, Invalidated Payments, Chargebacks, Refunds or other amounts that you owe to Olpays under this Agreement. If the Payout is not sufficient to cover the amounts due, you agree that we may debit your Bank Account for the applicable amounts, and/or set-off the applicable amounts against future Payouts. Upon Olpays’s request, you agree to provide Olpays with all necessary bank account routing and related information and grant Olpays permission to debit amounts due from your Bank Account.

2.7. Authorization to Create Reserves. Olpays may place a Reserve on a portion of your Payouts at any time, in our sole discretion, if we believe there is a high level of risk associated with your business. If we do so, we will provide you with notice specifying the terms of the Reserve. These terms may include a hold on a certain percentage of your Payouts for a given period, a hold on a fixed amount of your Payouts, or any such other restrictions. Olpays may change the terms of the Reserve at any time by providing you with notice of the new terms. You authorize a Reserve hold for as long as Olpays reasonably deems necessary to mitigate any risks related to your Transactions. At all times, even after release of the Reserve, you shall remain liable for all obligations related to your Transactions. In addition, we may require you to keep your Bank Account available for any open settlements, Chargebacks and other adjustments.

2.8. Security Interest (Lien on Funds). You grant us a “security interest” or “lien” on funds held in the Reserve to secure your obligations to us under this Agreement, such as the payment of fees. This means we will have a legal claim to Reserve funds in connection with amounts you owe or could reasonably owe Olpays.

PART 3. Taxes & Reporting to Authorities.

3.1. Taxes and Government Fees. Merchant shall pay, indemnify, and hold Olpays harmless from (i) any sales, use, excise, import or export, value-added, or similar tax or duty for which it is primary liable as the taxpayer, and (ii) all government permit fees, customs fees and similar fees which Olpays may incur with respect to this Agreement. Such taxes, fees and duties paid by Merchant shall not be considered a part of, a deduction from, or an offset against, payments due to Olpays hereunder.

3.2. Tax Determination. It is your responsibility to determine what, if any, taxes apply to the sale of your products and services or the payments you receive. Merchants are solely responsible to assess, collect, report, or remit the correct tax to the proper tax authority. We will not determine whether taxes apply, or calculate, collect, report, or remit any taxes to any tax authority arising from Merchants’ sales.

3.3. Reporting to Tax Authorities. You acknowledge that we may make certain reports to tax authorities regarding transactions that we process and merchants to which we provide card payment services. If you are a U.S. person, note that the Internal Revenue Code requires “merchant acquiring entities” and “third-party settlement organizations” to file an information return with the IRS each calendar year regarding all payment card transactions and third-party network transactions with merchants; you acknowledge that we will report to the Internal Revenue Service the total amount of the payments you receive each calendar year as required by law.

PART 4. Registration, Verification, Audit and Actions in Response to Risk.

4.1. Credit Report Authorization and Verification of Information. You authorize Olpays, our agents, and our Business Partners to make inquiries and take any other actions we consider necessary and reasonable to authenticate your identity, evaluate your creditworthiness, and verify all information you furnish us. This authorization includes permission to obtain financial and credit information (e.g. credit reports of company, directors and principals). When you register with Olpays, you furnish us written instructions and authorization to obtain such financial information or credit reports. If we cannot verify your identity or creditworthiness, Olpays reserves the right to terminate this Agreement and suspend Services upon immediate notice to you, and to refuse or rescind any payment by your customers.

4.2. Business & Legal Risk Assessment. You authorize us, our agents, and our business partners to assess your business and legal risk by evaluating information such as: your business invoices, government issued identification of owners, shareholders or directors, business licenses, and financial statements. At any time during this Agreement and upon reasonable request, you authorize us to conduct a physical inspection at your place of business and to examine books and records pertaining to your compliance with this Agreement. Your failure to comply with any of these requests within five (5) Business Days may result in suspension of your account or termination with this Agreement.

4.3. Information Sharing. You authorize Olpays to share information with our Business Partners about you and your application and, after account approval, about your use of the Services for regulatory or compliance purposes, in connection with the management of the program to improve services, to maintain accurate records, and to manage risk.

4.4 Opening of Account(s) Upon Registration. After collecting and verifying all your information, we will determine if you are eligible to use the Services and open an Olpays Account. You authorize us to share your information with our Business Partners such as the Card Networks, other payment processors, any collaborators through whom we transmit funds, and any financial institutions where we hold your funds on your behalf. Each of these parties may also make an independent determination as to your eligibility. We will notify you as soon as we have made a determination as to your eligibility and decide to open or decline to open an account. To use the Services, we may require you to enter an agreement directly with any of our Business Partners. Olpays may use your information to apply for card merchant acquiring accounts on your behalf with certain Card Networks and you hereby authorize us to do so. If we or any of the Card Networks request that you do so, in addition to this agreement, you will be required to enter into a direct agreement with the relevant company. Unless you expressly inform us in writing otherwise, you hereby authorize Olpays to continue to manage your account(s) with the Card Networks on your behalf and to cause funds settled from your Transactions with customers to be deposited to an Olpays bank account for your benefit.

4.5. Preventative Actions by Olpays. We may take preventative actions if we believe that: your Transactions pose an unacceptable level of risk involving security, fraud, disputes or other illegal activities; you have breached this Agreement; or your account has been compromised. These include, but are not limited to: suspending or limiting your ability to use the Services; refusing to process any Transaction; reversing a Transaction; holding your Payouts; and contacting your customers to verify Transactions.

PART 5. Unauthorized Use, Restricted Activities, Representations and Warranties.

5.1. Restricted activities. You agree to use Olpays Services in accordance with the Olpays Acceptable Use set forth below in Exhibit C. Merchant shall not:

(a) Breach this Agreement or any other agreement between you and Olpays;

(b) Violate the laws or rules of any government entity having jurisdiction over you that apply to any aspect of your business activities;

(c) Refuse to cooperate in a legal investigation or audit that may be required by the Associations;

(d) Withhold information that we reasonably request about you or your business activities, or provide us with false, inaccurate or misleading information;

(e) Integrate or use the Services without complying with all our requirements;

(f) Process Transactions or receive payments on behalf of any other party, or redirect payments to any other party;

(g) Submit any Transaction for processing that is not bona fide and permissible, consistent with this Agreement and the Association Rules, or that inaccurately describes your products or services in connection with the Transaction made; and

(h) Bill customers on a recurring basis or otherwise charge customers without properly obtaining their consent.

5.2. Card Network Rules. Merchants may not violate any rule, guideline, or bylaw of any of the Card Networks or Associations, including any amendments thereto from time to time. Merchants obtain these rules from their Card Network providers.

5.3. Representations and Warranties by Merchant. Merchant is duly authorized to execute and perform this Agreement, which is binding and enforceable against Merchant. Its provisions do not require Merchant, in any circumstance, to breach obligations under any agreement to which Merchant is a party. Merchant is duly organized, authorized and in good standing under the laws of the state, region or country of its organization and is duly authorized to do business in all other states, regions or countries in which Merchant’s business operates. Merchant’s activities are lawful in all jurisdictions where Merchant conducts business.

PART 6. Liability for Invalidated Payments and other Liabilities.

6.1 Invalidated Payments & Deductions. You are to bear all costs and reimburse us in connection with all claims, expenses, fines and liability we incur arising out of: (a) any Chargeback, Refund, over-payment, payment error, or other invalid payment you cause (collectively, “Invalidated Payments”); (b) any error, negligence, misconduct or fraud by you, your employees, or someone acting on your behalf; and (c) any losses resulting from your failure to comply with the terms of this Agreement, or your usage of the Olpays Payment Services. In the event of an Invalidated Payment or other liability, we may deduct the amounts due to Olpays from your Olpays Account balance and/or your Payouts.

PART 7. Account Security, Data, Intellectual Property and Publicity.

7.1 Security of your access. You agree that you will: (a) not allow third parties to access to your password details; (b) comply with all reasonable instructions we may issue regarding account access and security; (c) keep your contact information up to date; and (d) reasonably protect the security of any personal electronic device through which you access the Services (e.g. by using a PIN, not sharing the device, or configuring password protected functionality).

7.2. Data Security Compliance. Merchant shall comply with applicable data privacy and security requirements under the Payment Card Industry Data Security Standard (“Association PCI DSS Requirements”). These norms apply to Merchant’s use, access, and storage of certain credit card non-public personal information on behalf of Olpays. Additionally, Merchant shall comply with all applicable laws or regulations, whether currently in effect or adopted in the future, regarding its treatment of customer and credit card data.

7.3. Ownership of Data. All Customer Data shall be owned by Merchant and Merchant hereby grants Olpays a perpetual, irrevocable, sub-licensable, assignable, worldwide, royalty-free license to use, reproduce, electronically distribute, and display Customer Data for the following purposes: (i) providing and improving the Services; (ii) internal usage such as for data analytics and metrics as long as Customer Data is in an anonymous format and aggregated with other customer data; (iii) complying with legal requirements and responding to law enforcement agencies’ requests for disclosure of information in accordance with local laws; and (iv) any other purpose for which consent has been provided by the Customer.

7.4. Software License. Olpays grants you a revocable, non-exclusive, non-transferable license to use Olpays’s APIs and any developer’s toolkit or any other software applications we offer (the “Software”) in accordance with any terms of use furnished with the Software. This grant includes all updates, upgrades, new versions and replacement software in connection with the Services. If you breach the terms of use or any other requirements stipulated by Olpays, you will be liable for all damages that you, Olpays, or any third parties may suffer as a result. You agree not to alter, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt to create any source code that is derived from the Software. Upon expiration or termination of this Agreement, you will immediately cease all use of any Software.

7.5. Trademark License. In connection with your use of the Services, Olpays grants you a revocable, non-exclusive, non-transferable license to the corresponding trademarks (the “Trademarks”). Merchant shall not attempt to register or otherwise assert or claim, at any time, any interest in or do anything that may adversely affect the Trademark or any other trademark, trade name or product designation belonging to or licensed to Olpays. Upon expiration or termination of this Agreement, Merchant shall immediately cease all display, advertising and use of all of the Trademarks.

7.6. Intellectual Property. In connection with the Services and Olpays related intellectual property rights, Olpays grants only the right and licenses as expressly stated in this Agreement. Olpays grants no rights and licenses by implication, estoppel or otherwise. Each party shall retain all ownership rights to the intellectual property rights associated with its own products and services, subject only to the limited rights and licenses expressly granted herein.

7.7. Publicity. Merchant hereby grants Olpays permission to use Merchant’s name and logo in its marketing materials, e.g., on Olpays’s website and in customer listings, interviews and press releases.

7.8. Confidential Information. The parties acknowledge that in their performance of their duties hereunder either party may communicate to the other (or its designees) certain confidential and proprietary information, including without limitation information concerning the Olpays Payment Services and the know how, technology, techniques, or business or marketing plans related thereto (collectively, the “Confidential Information”) all of which are confidential and proprietary to, and trade secrets of, the disclosing party. Confidential Information does not include information that: (i) is public knowledge at the time of disclosure by the disclosing party; (ii) becomes public knowledge or known to the receiving party after disclosure by the disclosing party other than by breach of the receiving party’s obligations under this section or by breach of a third party’s confidentiality obligations; (iii) was known by the receiving party prior to disclosure by the disclosing party other than by breach of a third party’s confidentiality obligations; (iv) is independently developed by the receiving party; (v) is disclosed in accordance with other provisions of this Agreement, such as those in Sections 3.3 and 4.1 - 4.4.

As a condition to the receipt of the Confidential Information from the disclosing party, the receiving party shall: (i) not disclose in any manner, directly or indirectly, to any third party any portion of the disclosing party’s Confidential Information; (ii) not use the disclosing party’s Confidential Information in any fashion except to perform its duties hereunder or with the disclosing party’s express prior written consent; (iii) disclose the disclosing party’s Confidential Information, in whole or in part, only to employees and agents who need to have access thereto for the receiving party’s internal business purposes; (iv) take all necessary steps to ensure that its employees and agents are informed of and comply with the confidentiality restrictions contained in this Agreement; and (v) take all necessary precautions to protect the confidentiality of the Confidential Information received hereunder and exercise at least the same degree of care in safeguarding the Confidential Information as it would with its own confidential information, and in no event shall apply less than a reasonable standard of care to prevent disclosure.

Nothing in this Agreement will prohibit the receiving party from disclosing Confidential Information of the disclosing party if disclosure is required by a valid, judicial or governmental order or in a judicial or governmental proceeding (“Compelled Disclosure”); provided that receiving party shall (a) give disclosing party prompt notice of such Compelled Disclosure prior to disclosure, to the extent practicable; (b) reasonably cooperate with disclosing party in the event that it elects to contest such disclosure or seek a protective order with respect thereto, (c) in any event, only disclose the Confidential Information, or portion thereof, specifically required by the Compelled Disclosure and (d) continue to treat all such Confidential Information as confidential under the terms of this section.

7.9. Audit Right. If we believe that a security breach or compromise of data has occurred, we may require you to have a third-party auditor that is approved by us conduct a security audit of your systems and facilities and issue a report to be provided to us, our Business Partners and/or the Card Networks.

PART 8. Indemnification, Limitation of Liability, Disclaimer of Warranties.

8.1. Indemnification. Merchant agrees to indemnify, defend, and hold harmless Olpays, its parent, affiliates, officers, directors, agents, employees and suppliers from and against any lawsuit, claim, liability, loss, penalty or other expense (including attorneys’ fees and cost of defense) they may suffer or incur as a result of (i) your breach of this Agreement or any other agreement you enter with Olpays or its suppliers in relation to your use of the Services; (ii) your use of the Services; or (iii) your violation of any applicable law or regulation, or the Card Network or Card Association (as defined below) rules and requirements.

8.2. LIMITATION OF LIABILITY. TO THE EXTENT PERMITTED BY APPLICABLE LAW, OLPAYS SHALL NOT BE LIABLE TO YOU OR A THIRD PARTY FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, RELIANCE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES, WHETHER FORESEEABLE OR UNFORESEEABLE, AND WHETHER BASED ON BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, MISREPRESENTATION, OLPAYS’ OWN NEGLIGENCE, STRICT LIABILITY IN TORT, OR OTHER CAUSE OF ACTION (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF DATA, GOODWILL, PROFITS, INVESTMENTS, USE OF MONEY, OR USE OF FACILITIES; INTERRUPTION IN USE OR AVAILABILITY OF DATA; STOPPAGE OF OTHER WORK OR IMPAIRMENT OF OTHER ASSETS; OR LABOR CLAIMS), EVEN IF OLPAYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UNDER NO CIRCUMSTANCES SHALL OLPAYS’S TOTAL AGGREGATE LIABILITY TO MERCHANT OR ANY THIRD PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE DIRECT DAMAGES SUFFERED BY SUCH PARTY IN AN AMOUNT EQUAL TO THE AMOUNTS PAID OR PAYABLE BY MERCHANT TO OLPAYS UNDER THIS AGREEMENT DURING THE FIRST TWELVE (12) MONTH PERIOD AFTER THE EFFECTIVE DATE OF THIS AGREEMENT.

8.3. Disclaimer of Warranties.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, OLPAYS SERVICES ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY TO MERCHANT WHATSOEVER INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

OLPAYS DISCLAIMS ALL WARRANTIES TO MERCHANT WHETHER EXPRESS, IMPLIED, OR STATUTORY. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY OLPAYS OR ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF OLPAYS’S OBLIGATIONS.

Merchant acknowledges that the Services are a computer network based service and, as such, are subject to outages and delay occurrences. Consequently, Olpays does not guarantee continuous or uninterrupted access to the Services. Merchant also acknowledges that access to the Olpays website or to the Services may be restricted for maintenance. Olpays will make reasonable efforts to ensure that Transactions are processed in a timely manner. However, Olpays will not be liable for any interruption, outage, or failure to provide the Services.

PART 9. Term and Termination, Data Portability.

9.1. Term and Termination. This Agreement shall commence on the Effective Date and continue until terminated as set forth herein. You may terminate this Agreement, without cause, by providing Olpays with notice of your intent to terminate or by simply ceasing to use the Services.

Olpays may terminate this Agreement or suspend services to you if any of the following occurs: (1) we are required by the Associations, an acquiring bank, or an order from a regulatory body to cease providing services to you; (2) we believe that you have breached this Agreement, or are likely to do so; (3) if we determine that your use of the Olpays Services carries an unacceptable amount of risk, including credit, or fraud risk; or (4), in Olpays’s sole discretion, any other legal, reputational, or risk-based reason exists. In the event that Olpays must terminate this Agreement, Olpays shall provide you with written notice as soon as reasonably practicable.

After termination by either party as described above, Merchant shall no longer have access to, and shall cease all use of the Services. Termination of this Agreement does not relieve Merchant of any obligations to pay any fees, costs, penalties, Chargebacks or any other amounts owed by you to us as provided under this Agreement, whether accrued prior to or after termination.

9.2. Data Portability. Upon termination of this Agreement, Olpays agrees, upon written request from Merchant, to provide Merchant’s new acquiring bank or payment service provider (“Data Recipient”) with any available credit card information relating to Merchant’s Customers (“Card Information”). Olpays agreement to do so is subject to (a) Merchant providing Olpays with all requested information including proof that the Data Recipient is in compliance with the Association PCI-DSS Requirements and is level 1 PCI compliant (b) the transfer being compliant with the latest version of the Association PCI-DSS Requirements, and (c) the transfer being permissible under the applicable Association Rules, and any applicable laws, rules or regulations.

PART 10. General Provisions.

10.1. Independent Agent of the Merchant as Payee. Olpays is an agent of the Merchant as a payee in licit business transactions and for interacting with our Business Partners to furnish Merchant with the Services. Merchant and Olpays contract with one another as independent parties. Neither Merchant nor any of its employees, consultants, contractors or agents are employees, agents, partners or joint venturers of Olpays, nor do they have any authority to bind Olpays by contract or otherwise to any obligation. Neither party will represent anything to the contrary, whether expressly, implicitly, by appearance or otherwise.

10.2. Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable for any reason, the remaining provisions not so declared shall nevertheless continue in full force and effect, but shall be construed in a manner so as to effectuate the intent of this Agreement as a whole, notwithstanding such stricken provision or provisions.

10.3. Waiver. No breach of this Agreement shall be deemed waived or excused, and no provision shall be deemed waived, unless the alleged waiver or consent is in writing and signed by the party claimed to have waived or consented. Any consent or waiver by any party shall not constitute a waiver or excuse for any different or subsequent breach.

10.4. Assignment. This Agreement will bind and inure to the benefit of each party’s permitted successors and assigns. Merchant may not assign this Agreement without the written consent of Olpays. Olpays may assign this Agreement in its sole discretion without the written consent of Merchant.

10.5. Amendment. We may amend this Agreement at any time by posting a revised version of it on our website or by sending you a revised version to your Designated Email Address. The revised version will be effective at the time we post it or email it to you. You continued use demonstrates your Agreement to any and all changes. If you do not agree to the updated terms, you can terminate your Agreement by providing us with notice in the manner indicated below in Section 10.11 below. If you provide us with termination notice within 30 calendar days of the date of update, then your current terms and conditions shall apply during this notice period.

10.6. Entire Agreement. This Agreement sets forth the entire agreement and understanding of the parties hereto in respect to the subject matter contained herein, and supersedes all prior agreements, promises, covenants, arrangements, communications, representations or warranties, whether oral or written, by any officer, partner, employee or representative of any party hereto.

10.7. No Third Party Beneficiaries. Nothing in this Agreement, express or implied, shall be deemed to confer any benefits, rights or remedies upon any persons that are not parties to this Agreement, except as set forth above in Section 2.1 inasmuch as our receipt of payment from your customers constitutes delivery of payment to you.

10.8. Survival. The below-listed sections and parts hereof shall survive termination of this Agreement: Sections 2.3 – 2.8; Part 3; Sections 4.3 – 4.5; Part 6; Section 7.8; Part 8; Section 9.2; Sections 10.1 – 10.3; Sections 10.6 – 10.7; Sections 10.11 – 10.11.

10.9. Communication; Recording Calls. We may share your telephone numbers with our Business Partners or other service providers (such as billing or collections companies) who we have contracted with to assist us in pursuing our rights or performing our obligations under the Agreement, our policies, or any other agreement we may have with you. You agree these service providers may also contact you using autodialed or prerecorded calls and text messages, only as authorized by us to carry out the purposes we have identified above, and not for their own purposes. Olpays and its Business Partners may, without further notice or warning and, in its sole discretion, monitor or record telephone conversations with you or anyone acting on your behalf has with Olpays or its agents for quality control and training purposes or for its own protection.

10.10. Notice to Merchant. Merchant agrees that Olpays may provide notices and disclosures to Merchant by posting them on Olpays’s website, emailing them to Merchant, or sending them to Merchant by private courier. Notices sent to Merchant by private courier are considered received by Merchant within five (5) Business Days of the date Olpays sends the notice unless it is returned to Olpays. Disclosures and notices posted on Olpays’s website or emailed shall be considered to be received by you within 24 hours of the time it is posted to our website or emailed to you unless we receive notice that the email was not delivered. You understand and agree that if Olpays sends you an email that you do not receive because your Designated Email Address on file is incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive electronic communications, the communication will be deemed received by you. In addition, Olpays may send Merchant emails, including, but not limited to, those relating to product updates, new features and offers and Merchant hereby consents to such email notification. You also agree that electronic disclosures and notices have the same meaning and effect as if we had provided you with a paper copy.

10.11. Notices to Olpays. Notice to Olpays shall be considered valid if sent by private courier or email to the addresses listed below. Notice shall be deemed received 24 hours after the email is sent (unless you receive notice the email was not received) or, if by private courier, when delivery is confirmed by the delivery service.

10.11. Governing Law. You and Olpays agree that the laws of the State of New York, without regard to its conflict of laws principles will govern this Agreement and any and all claims or disputes that may arise between the parties, except as otherwise stated in this Agreement.

PART 11. Dispute Resolution. Agreement to Arbitrate.

You and Olpays agree to submit to any and all disputes or claims that have arisen or may arise between you and Olpays shall be resolved exclusively through final and binding arbitration rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

THE PARTIES ALSO AGREE THAT YOU AND OLPAYS MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND OLPAYS AGREE OTHERWISE, THE ARBITRATOR(S) MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR(S) MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER OLPAYS MERCHANTS.

The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, as modified by this Agreement to Arbitrate. The AAA’s rules are available at www.adr.org. Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules. All issues are for the arbitrator to decide, except issues relating to arbitrability, or the scope or enforceability of this Agreement to Arbitrate, which shall be for a court of competent jurisdiction to decide. If a court decides that any part of this Part 11 is invalid or unenforceable, the other parts of this Part 11 shall still apply.

The arbitration shall be held in New York, New York or another mutually agreed location. The arbitrator(s) shall not be bound by rulings in prior arbitrations involving different merchants, but shall be bound by rulings in prior arbitrations involving the same merchant to the extent required by applicable law. The arbitration award shall be final and binding and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

EXHIBIT A. Definitions

“Agreement” means this Olpays Payment Services Agreement, including all exhibits and other agreements and documents incorporated herein.

“Associations” means, collectively, Visa, MasterCard, Discover, American Express, any ATM or debit network, and the other financial service card organizations.

“Bank Account” means the bank account that you specify to receive your Payouts.

“Business Day” means a day where banks are generally open in the United States.

“Business Partner” means any financial services or other provider with whom we collaborate to furnish you with the Services.

“Chargeback” means a challenge to a payment that a buyer files directly with his or her credit or debit card issuer.

“Confidential Information” has the definition ascribed to such term in Section 6.08.

“Control Panel” is the user interface for the Olpays Payment Services.

“Customer(s)” means the customer of the Merchant.

“Customer Data” means all information that Customer provides in the course of making a payment to you.

“Designated Email Address” means the email address you provide to us upon registering for an Olpays Account.

“Intellectual Property” means all of the following owned by a party: (a) trademarks and service marks (registered and unregistered) and trade names, and goodwill associated therewith; (b) patents, patentable inventions, computer programs, and software; (c) databases; (d) trade secrets and the right to limit the use or disclosure thereof; (e) copyrights in all works, including software programs; and (f) domain names.

“Olpays Account” refers to the formal business arrangement between you, as a Merchant, and Olpays, as your agent. This term may also be used to refer to the amount of your funds, pending settlement, in possession of Olpays at any time.

“Payout” means the amount due to you from your Transactions minus (a) any payments we make to third parties on your instructions and (b) our fees and any Refunds, Chargebacks, Reversals, or other amounts due to Olpays.

“Reversal” means any payment that Olpays reverses to your customer

“Refund” means a refund issued by you to your customer through Olpays API access.

“Reserve” means an amount or percentage of your Payouts that we hold in order to protect against the risk of Reversals, Chargebacks, or any other risk, exposure and/or potential liability to us related to your use of the Olpays Payment Services.

“Restricted Activities” means any breaches of our Acceptable Use Policy and any activity specified in Section 3.01.

“Software” is defined in Section 6.04.

“Trademark(s) is defined in Section 6.05.

“Transaction” means a transfer of funds between you and a third party related to the sale of goods and/or services, or charitable donations.

EXHIBIT B. Privacy Policy

Olpays provides this privacy policy ("Policy") to describe our practices regarding the collection, storage, use, disclosure and other processing of Personal Data (as defined below).

1. Types of Personal Data Collected

Olpays services business enterprises and, therefore, primarily has relationships and accounts only with corporations and other legal entities. However, we may collect information about individual representatives ("Individuals") of our customer organizations (“Customers”) such as the Individual’s:

Work contact details: name, work address, phone number, mobile phone number, email address, and online contact details.

Position description: employer, title, position held, and length of employment.

Authentication data: passport, driver’s license, other governmental identification information, home address and telephone number, documents that verify address, date of birth, country of domicile, documents that verify employment, and signature authorization.

Financial data: salary and other income, sources of wealth, assets, financial relationships, and financial transactions.

Background check data: background check information including credit and criminal checks and screening, to the extent required or permitted by local law.

Collectively, the above categories of data constitute “Personal Data.” We may collect Personal Data directly from the Individual, Customers, private lists, and publicly available sources. Failure to provide this information may result in Olpays being unable to provide or continue to provide the requested services to the Customer.

2. Purposes of Collection and Use

The purposes of collection and use of Personal Data are:

To provide the services requested by our Customers, perform obligations under our agreements, and carry out related business functions, including performing data and transaction processing, conducting credit checks, handling Customer inquiries, and managing the Customer relationship, we collect and use work contact details, position description, authentication data, financial data, and background check data.

To comply with legal obligations and regulations applicable to Olpays and any of its Affiliated Entities (defined below) in the United States and any relevant jurisdictions, including but not limited to “know your customer” obligations based on applicable antimony laundering and anti-terrorism requirements, economic and trade sanctions, customer due diligence, suspicious activity reporting, foreign exchange and international trade, tax reporting and other applicable laws, regulations, ordinances, and obligations, we collect and use work contact details, position description, authentication data, financial data, and background check data.

To confirm a person’s authority as a representative or agent of a Customer with which Olpays or its Affiliated Entities have entered or intend to enter into agreements regarding Olpays’ Services, we collect and use work contact details, position description, and authentication data.

To conduct recordkeeping and otherwise manage the business, we collect and use work contact details, position description, authentication data, financial data, and background check data.

3. Disclosure of Personal Data

Olpays may disclose Personal Data to the below persons and/or as follows (in each case to the extent necessary and on a need-to-know basis).

Affiliated Entities. “Affiliated Entities” means any and all Olpays subsidiaries or parent entities and any companies controlled by such subsidiaries or parents. Olpays may disclose Personal Data to Affiliated Entities in the interest of improving the Services, managing Olpays performance and compliance.

Strategic Business Partners and Service Providers. Olpays may disclose Personal Data, on a worldwide basis, to our strategic Business Parners to provide the Services requested by our customers and to comply with legal obligations and regulations. We may disclose Personal Data to information technology providers or other service providers around the world that act under our instructions regarding the processing of such data ("Data Processors"). Data Processors will be subject to contractual obligations to implement appropriate technical and organizational security measures to safeguard the Personal Data, and to process Personal Data only as instructed. Olpays may also disclose Personal Data to independent external auditors or other service providers around the world that may not be acting as a Data Processor. Such service providers will be subject to any necessary contractual obligations regarding the protection and processing of such Personal Data.

Legal requirements. Subject to applicable law, Olpays may disclose Personal Data if required or permitted by applicable law or regulation, including laws and regulations of the United States and other countries, or in the good faith belief that such action is necessary to: (a) comply with a legal obligation or in response to a request from law enforcement or other public authorities wherever Olpays may do business; (b) protect and defend the rights or property of any Olpays entity; (c) act in urgent circumstances to protect the personal safety of Individuals, Customers, and contractors/employees of any Olpays entity or others; or (d) protect against any legal liability. In addition, the Olpays may share your Personal Data with U.S. and other regulators, whose authority to which we are subject, wherever Olpays may do business.

Business transfers, combinations and related activities. As we develop ourbusiness, Olpays might sell, buy, restructure or reorganize businesses or assets. In the event of any actual or proposed sale, merger, reorganization, restructuring, dissolution or any similar event involving our business or assets, Personal Data may be shared with the relevant entity or may be part of the transferred assets.

The above-mentioned recipients of Personal Data may be located in the United States and other jurisdictions that may not provide the same level of data protection as your home country. As needed, we will take steps to establish appropriate data transfer agreements (including agreements based on local law, e.g., the EU Model Contractual Clauses with respect to Personal Data from Europe) or otherwise address cross-border data transfer restrictions.

4. Consents

To the extent that consent is required by applicable law and our collection, use, disclosure, or other processing of Personal Data is not otherwise permitted by applicable law, by providing Personal Data to Olpays or authorizing our Customer to provide such information to us, you consent to the collection, use, disclosure (including cross-border transfer), and other processing of Personal Data as described in this Policy. You expressly waive the bank secrecy or confidentiality laws and obligations, if any, of the country or countries where you and the accounts are located to the extent permitted by applicable law. You may revoke consent at any time by notifying us at the address provided in Section 7 of this Policy. Prior uses and disclosures will not be affected (unless required by applicable law), and we may otherwise continue to process Personal Data as permitted or required bylaw.

5. Information Management and Security Control Measures

The Personal Data will be safely stored in Olpays’ databases. Appropriate measures are taken so that Personal Data can be kept accurate, and up-to-date, which will be in accordance with the applicable security requirements. In an effort to prevent the loss, misuse, unauthorized access, disclosure, alteration or destruction of Personal Data, Olpays will take appropriate legal, organizational and technical measures to protect Personal Data. We will keep Personal Data no longer than necessary to fulfill the purposes outlined in this Policy and have implemented appropriate record retention policies.

While registering with our website, mobile applications, or social media features (each, a “Site"), we may provide you with a unique identification and password for accessing our products and services. We encourage you to choose your password wisely such that no intruder or third party can obtain any unauthorized access to the Site. We also encourage you to keep your password confidential and not have any written or other record of the password that can be accessible by an intruder or third party.

6. Access and Correction, Choice for Marketing Materials, and Other Legal Rights

Access and Correction. Individuals have the right to access and correct any Personal Data held about them. Requests to access or correct any Personal Data held about an Individual must be submitted by the Individual in writing to the address listed in the Customer Inquiries section below. After we have verified the Individual’s identity, we will endeavor to provide the information and take the other actions requested as specified by local law, and, where permitted by law, we may charge an appropriate fee to cover the costs of responding to the request. In addition, an overview of all entities involved in the processing of personal data, including data processors and the countries where being processed, are available upon request.

Choice for Marketing Materials. If you do not want to receive marketing and sales materials from Olpays (if any) by direct mail, telephone or email, please follow the “unsubscribe” instructions provided in those communications or submit a written request to the address listed in the Customer Inquiries section below. We will comply with your request within a reasonable period of time after receiving it.

Other Legal Rights. You may have other rights under the laws applicable to our collection of your Personal Data, such as the deletion of your Personal Data. Contact us in writing with requests to exercise such rights at the address listed in the Customer Inquiries section below and we will honor such rights in accordance with law. The provision of your personal data is voluntary. However, if you do not provide your Personal Data we will not be able to perform our services.

We may also gather additional information, such as the type of device and browser you are using, the IP address of your device, information about your device’s operating system, and additional information associated with your device. We may also gather information collected through cookies, tags, and other technologies, as described further below.

9. About “cookies” and Ad Choices on third party sites

Cookies are pieces of data stored on your device. Browser cookies are assigned by a web server to the browser on your device. When you return to a site you have visited before, your browser gives this data back to the server. Mobile applications may also use cookies.

We use cookies and information gathered through their use to make your experience with Olpays and certain other sites richer and more personalized based on the products, services, or other interaction you have with us and other sites. Information gathered through use of cookies may be used to make offers to you via online ads by mail, email, or telephone subject to the privacy preferences you disclose to us. We also use cookies, sometimes in conjunction with service providers, in online advertising either on our own Site or on third party sites. Industry standards are currently evolving and we may not separately respond to or take any action with respect to a “do not track” configuration set in your internet browser.

Other parties that may collect information about your web browsing behavior when you use our Site are generally limited to service providers who may only use any information collected to provide services and marketing for us and not to provide services or advertising for any other party. Note, however, that we also provide certain widgets or tools on our sites, such as tools that allow web surfers to easily share information on another platform, such as a social media platform. At other times, information from a third party may be embedded on our site, such as a map or information streaming from another site, including communications streaming from a third party social media platform. 10. Do you have to accept cookies?

11. Additional cookies.

Cookies is a term also used to describe other locally stored objects, such as cookies stored in an Adobe folder on your device. These cookies will not be deleted when you clear cookies from your browser. We may use this technology for purposes such as information security and fraud prevention. 12. Additional technologies.

We may also use additional technologies such as pixel tags, web beacons, and clear GIFs, and may permit our third party service providers to use these technologies. We use these technologies for purposes such as measuring the effectiveness of our advertisements or other communications, determining viewing and response rates, and determining which offers to present to you on our own or on third party sites.

13. Using information.

In addition to the uses described above, we use information for purposes as allowed by law such as: servicing; communicating with you; improving our Site, products, or services; legal compliance; risk control; information security; anti-fraud purposes; marketing or personalizing the presentation of our products and services to you; tracking website usage, such as number of hits, pages visited, and the length of user sessions in order to evaluate the usefulness of our sites; and using read-receipt notifications in our email communications.

14. Children’s privacy

As Olpays’ services are indented for merchants, not consumers, Olpays does not knowingly collect personal information from individuals under the age of 13. For more information about the Children’s Online Privacy Protection Act (COPPA), visit the FTC website: www.ftc.gov.

15. Policy updates

If we make updates to this Policy, we will update the Policy with the changes and post the revised version on the Site or send it to you by email. Any updates to the Policy become effective when we post the updates or 24 hours after we sent them to you by email, unless we receive an automated response stating that our email was not received. Your use of the Site following the update to the Policy means that you accept the updated Policy.

EXHIBIT C. Prohibited Activity Policy

A. Prohibited Activities. In addition to any activity mentioned in the main body of the Agreement, you may not use the Services in connection with any product, service, transaction or activity that involves:

aggregation or factoring, whether licensed or unlicensed

aggregation or factoring, whether licensed or unlicensed

airlines (exceptions apply if you get our prior written approval)

bail bonds

bankruptcy lawyers

bidding fee auctions

business or investment opportunity sales

check cashing, wire transfers or money orders

collection agencies

counterfeit goods or any product or service that infringes upon the copyright, trademark or trade secrets of any third party

credit card and identity theft protection

credit counseling, repair or protection services, or mortgage consulting or reduction services

decryption and descrambler products designed to circumvent intellectual property rights or protections, including mod chips

door-to-door sales

drug paraphernalia

embassies, foreign consulates or other foreign governments

B. Responsive Action. If, in our sole discretion, we believe that you may have engaged in any violation of this Prohibited Activity Policy, we may (without providing notice) take any actions we deem appropriate to mitigate risk to Olpays, our Business Partners and other third parties, and to ensure compliance with this Prohibited Activities Policy, in addition to the responsive actions we may take described elsewhere in this Agreement, we may:

Take legal action against you;

Contact and disclose information related to such violations to (i) persons who have purchased goods or services from you, (ii) any banks or Card Networks involved with your business or transactions, (iii) law enforcement or regulatory agencies, and (iv) other third parties that may have been impacted by such violations; or

Assessing against you any fees, penalties, assessments or expenses (including reasonable attorneys’ fees) that we may incur as a result of such violations, which you agree to pay promptly upon notice.

Terminos y Condiciones Olpays Crossborders

Olpays Crossborder es un programa diseñado para apoyar a los empresarios globales facilitando el acceso a los componentes básicos de un negocio global de Internet o comercio electrónico, incluyendo, (1) la creación de una sociedad en el Reino Unido contratando los servicios ofrecidos por Archers Corporate Services Limited (Número de registración: 08448721), una entidad registrada en el Reino Unido con domicilio en Oficina 32, 19-21 Crawford Street, Londres, W1H 1PJ, Reino Unido ("Archers”), (2) los servicios de procesamiento de pagos contratando los servicios ofrecidos por Olp Solutions LTD. ("Olpays"), una entidad registrada en Reino Unido, con domicilio en Oficina 32, 19-21 Crawford Street, Londres, W1H 1PJ y (3) otros servicios y herramientas prestados por terceros (“Socios”). Olpays facilita el acceso a las herramientas mencionadas anteriormente y/o el contacto de los emprendedores con los Socios y Archers. En tal sentido, Olpays examinará cada solicitud de forma directa, teniendo en cuenta la información proporcionada por cada emprendedor y fuentes de terceros; y se reserva el derecho a declinar cualquier solicitud. Al aceptar este Acuerdo, Olpays le proporcionará el formulario de solicitud de cuenta de Crossborder ("Solicitud Crossborder"), buscando información adicional detallada acerca de usted y su negocio.

Acuerdo Olpays Crossborder

Este Acuerdo de Olpays Crossborder (este "Acuerdo") es un acuerdo legal entre la persona o personas que se identifican en su Solicitud Crossborder ("usted", "su" o "usuario") y Olpays ("nosotros" o "nuestro"). El Servicio de Olpays Crossborder, es un servicio de contacto y acercamiento de las partes involucradas, pero no un acuerdo de servicios con cada una de esas partes. En consecuencia, Ud. entiende que el servicio de Olpays Crossborder no comprende las prestaciones efectivas de Archer, los Socios o el servicio de procesamiento de pagos de Olpays, sino que dichas prestaciones serán regidas por los términos y condiciones propios de cada una de ellas. El usuario entiende que cualquiera de las entidades contactadas por Olpays en nombre del usuario en el marco de una solicitud Crossborder pude declinar la prestación de servicios al usuario, sin expresión de causa, y que ello no genera responsabilidad alguna en cabeza de Olpays, de Archers o de los Socios. Tal como se usa en el presente Acuerdo, el “Servicio de Olpays Crossborder" significa los servicios de contacto y facilitación descritos en el presente Acuerdo

La persona o personas que emitan la Solicitud Crossborder declaran que toda la información proporcionada es exacta y completa; así como que están autorizados y/o que tienen la debida capacidad legal para emitir la Solicitud Crossborder. Este Acuerdo rige el Servicio de Olpays Crossborder. Por otro lado, el Acuerdo de servcio de procesamiento de pagos ("Contrato de Servicios") regula los servicios de procesamiento de pagos ofrecidos por Olpays. Usted acepta cumplir con este Acuerdo y el Contrato de Servicios, que debe ser aceptado en forma previa a la emisión de la Solicitud Crossborder. Mediante la emisión de la Solicitud Crossborder usted acepta el Contrato de Servicios, y garantiza a Olpays que la sociedad del Reino Unido formada en virtud de su participación en Olpays Crossborder aceptará el Contrato de Servicios en forma previa a operar con Olpays. Por favor, lea este Acuerdo y el Contrato de Servicios con cuidado, ya que su uso del Servicio de Olpays Crossborder está sujeto a la previa aceptación y acuerdo con ambos.

1. Relación con otros acuerdos

El uso del Servicio Olpays Crossborder implica la aceptación de este Acuerdo y del Contrato de Servicios, así como de cualquier actualización o modificación a cualquiera de ellos que pueda realizar Olpays. En la medida en que exista un conflicto entre el Contrato de Servicios y el presente Acuerdo en relación el Servicio de Olpays Crossborder, prevalecerá este Acuerdo. Cualquiera de los términos en mayúsculas que se utilizan pero no son definidos en el presente Acuerdo serán interpretados conforme se los defina en el Contrato de Servicios.

2. El Servicio de Olpays Crossborder

a. Información general: El Servicio Olpays Crossborder le permite al usuario (i) hacer la presentación necesaria ante Archers para contratar sus servicios de registración de una sociedad en la jurisdicción del Reino Unido (la “Aplicación”), y (ii) abrir una cuenta de procesamiento de pagos con Olpays.

b. Solicitud Crossborder: Ud. emitirá una Solicitud Crossborder con la información y documentación necesarias para abrir una cuenta de cuenta de procesamiento de pagos con Olpays y para hacer la Aplicación a Archers solicitando sus servicios. En tal sentido, Olpays le solicitará información y/o documentación relativa a su negocio, incluyendo pero no limitada a: (i) información detallada de su producto, modelo de negocios, y su flujo de fondos; (ii) información sobre cada una de las personas aplicantes y beneficiarios; (iii) información societaria, incluyendo denominación legal, dirección, número de identificación fiscal, información respecto a las autoridades y documentos constitutivos. Asimismo, Olpays podrá recopilar y/o solicitar información financiera y comercial.

c. Verificación de la Solicitud Crossborder: Olpays intentará verificar la información y documentación proporcionada utilizando diversos métodos de revisión.

En cualquier momento y por cualquier motivo, podremos requerir información adicional que verifique su identidad, la naturaleza y la propiedad de su negocio, o evaluar sus riesgos. Si no proporciona la información solicitada, podremos suspender en forma inmediata su cuenta de Olpays y/o terminar este Acuerdo y/o el Contrato de Servicios.

Olpays se reserva el derecho de declinar cualquier Solicitud Crossborder sin expresión de causa.

d. Formación de sociedad en el Reino Unido: Una vez examinada y aprobada la Solicitud Crossborder, Olpays pondrá al usuario en contacto con Archers y remitirá a Archers la Aplicación de conformidad con las instrucciones provistas por el usuario. Ud. nos autoriza expresamente a transmitir a Archers cualquier información y/o documentación que Ud. nos haya proporcionado en el marco de su Solicitud Crossborder. Archers analizará la Aplicación y, en caso de aceptarla, procederá a iniciar el proceso de formación de la sociedad en el Reino Unido solicitada por el usuario. Ud. comprende que Archers puede rechazar cualquier Aplicación o requerir documentación y/o información adicional. Ud. reconoce que nosotros actuamos como intermediarios, facilitando a Archers la documentación e información y contactándolos con Ud., pero que no somos responsables por los servicios de Archers, incluyendo pero no limitado a la efectiva formación de la sociedad en la jurisdicción del Reino Unido, su mantenimiento y el cumplimiento con la normativa aplicable. En caso de que Archers acepte la Aplicación, Ud. deberá aceptar los términos y condiciones del servicio de Archers, que le serán oportunamente indicados por Archers, y deberá nombrar a Archers como su agente registrado en el Reino Unido. En tal sentido, Ud. deberá autorizar a Archers o a sus proveedores para recibir en su nombre cualquier notificación relativa al proceso de formación de la sociedad en el Reino Unido o cualquier otra notificación dirigida a dicha sociedad, incluyendo notificaciones de procedimientos legales, otras notificaciones legales o cualquier comunicación oficial del gobierno del Reino Unido. Las comunicaciones de Archers y Olpays para con Ud. serán realizadas a la dirección de correo electrónico o al domicilio que Ud. indique en su Solicitud Crossborder y Archers podrá reenviar correo físico que reciba a dicho domicilio. Ud. es el único responsable de mantener su domicilio y su dirección de correo electrónico actualizadas y notificar a Archers de cualquier modificación.

e. Soporte: Usted reconoce que cualquier cualquier consulta por cuestiones relativas a su sociedad a ser registrada en el Reino Unido deberá ser dirigida directamente a Archers. Usted reconoce que nosotros no somos responsables de los servicios relacionados con su sociedad registrada en el Reino Unido.

f. Servicios profesionales: En caso de que su aplicación sea aceptada por Archers, Archers le ofrecerá una llamada de consulta, con una duración máxima de 30 minutos sin costo alguno, que será realizada en idioma inglés. Usted reconoce que tal recurso está disponible únicamente con fines informativos y educativos, y no constituye asesoramiento fiscal ni legal. También reconoce que, una vez constituida su sociedad en el Reino Unido usted es responsable de todas las obligaciones impositivas relativas a la misma.

g. Obligaciones adicionales, limitaciones: Usted reconoce, entiende y acepta que ni Olpays ni ninguna de sus filiales proporciona asesoramiento legal o fiscal, ni participan en la registración de la sociedad del usuario en el Reino Unido o en su operación. Por consiguiente, no somos responsables del mantenimiento, las tasas, impuestos o la vigencia de cualquier entidad que el usuario registre en el Reino Unido; asimismo Ud. también entiende que toda la información, formularios y materiales proporcionados por Archers, Olpays o los Socios a través de la página web de la Olpays Crossborder se proporcionan con fines informativos y educativos solamente y no constituyen asesoramiento legal o impositivo.

Usted se compromete a (i) cumplir con la legislación del Reino Unido y de las jurisdicciones en las que opere, (ii) no utilizar los servicios objeto del Contrato de Servicios para procesar pagos en relación con juego ilegal, apuestas ilícitas en Internet, u otras transacciones ilícitas, y (iii) no ejercer ninguna otra actividad empresarial prohibida. Usted entiende y acepta que es el único responsable de los productos o servicios transaccionados por Ud. cuyos pagos procese utilizando los servicios objeto del Contrato de Servicios.

3. Procesamiento de Transacciones en el marco del Contrato de Servicios

Podemos establecer unilateralmente y sin expresión de causa limitaciones transaccionales en función de diversos parámetros de riesgo, y usted se compromete a no procesar en exceso las limitaciones que le comuniquemos. Estas limitaciones pueden incluir límites en el volumen de procesamiento, en la recepción de pagos o a hacer pagos a partes específicas; o cualquier otra limitación que consideremos apropiada. Olpays le notificará al usuario cualquier limitación transaccional aplicable.

4. Uso de los datos; Intimidad

a. General: usted autoriza la divulgación de su nombre y domicilio, y la información sobre las transacciones que se procesen en el marco del Contrato de Servicios a los Socios y a Archers, en caso de que sea necesario para prestar o facilitar los Servicios de Olpays. También da su consentimiento para que la información por Ud. suministrada a Olpays o que sea recogida por nosotros como parte de la prestación de nuestros servicios sea utilizada para análisis internos de control del fraude, así como para realizar reportes, en forma de-identificada.

La Política de Privacidad de Olpays explica cómo y para qué fines las partes respectivas recopilarán, usarán, conservarán, divulgarán y protegerán la información personal que usted nos proporcione. Podemos utilizar cualquier información, incluyendo información personal, para procesar los pagos y para cumplir con cualquier disposición de este Acuerdo.

b. Procedimientos de identificación: Estamos obligados a cumplir con las leyes destinadas a combatir la financiación del terrorismo y el lavado de dinero. Estas leyes requieren que todas las instituciones financieras obtengan, verifiquen y registren información que identifique a las empresas y personas a las que prestan servicios. La información que usted nos proporciona en la Solicitud Crossborder, incluyendo su nombre, dirección, fecha de nacimiento, y otra información, nos permite identificarle. Todo o parte de la información también se puede proporcionar a los Socios y/o Archers. También podemos pedirle en cualquier momento que para validar la información nos remita documentación adicional, incluyendo documentos de identificación.

5. Tasas de servicio

La prestación del Servicio de Olpays Crossborder involucra los precios y tasas que se describen en el Plan de Tarifas. Estos incluyen los honorarios de Archers y otros gastos requeridos para la constitución y registración de la sociedad en el Reino Unido; y puede incluir honorarios, gastos y/o comisiones para mantener Archers como agente registrado de dicha Sociedad. Todas las tarifas aplicadas por nosotros se reflejarán en su panel de control de Olpays, y usted reconoce y acepta que Olpays tiene derecho a deducir los honorarios de los pagos procesados para usted en el marco del Contrato de Servicios. Las comisiones por otros servicios o contratos (tales como el procesamiento de pagos) se cobran por separado. Olpays puede modificar el Plan de Tarifas en cualquier momento. En casos especiales a ser determinados por Olpays, podremos ofrecerle una bonificación en los honorarios de Archers requeridos para la constitución y registración de la sociedad en el Reino Unido y/o en los honorarios por el primer período de Archers como agente registrado de dicha sociedad. Solo podrá acceder al beneficio antes mencionado previa notificación de Olpays y nos reservamos el derecho de revocar el beneficio en todo o en parte en cualquier momento y sin expresión de causa.

Si Ud. no entiende el Plan de Tarifas o si tiene alguna pregunta al respecto, por favor póngase en contacto con nosotros.

En relación al procesamiento de pagos en el marco del Contrato de Servicios, Ud. es el único responsable de comunicar cualquier importe que cobre a sus clientes y se compromete a comunicar con claridad dichas cantidades antes de cargarlas a sus clientes.

Archers será renovado automáticamente como agente registrado de la sociedad registrada en el Reino Unido por períodos sucesivos de un año al final de cada periodo de suscripción de un año, a un costo indicado por Archers, a menos que Ud. notifique a Archers su voluntad de terminar los servicios de Archers con al menos 30 días corridos de anticipación antes del final de del primer período o cada año sucesivo. Si cancela los servicios de Archers, Archers continuará funcionando como agente registrado, hasta que el período correspondiente sea completado, después de lo cual Archers dejará de actuar como agente registrado de la sociedad registrada en el Reino Unido y serán terminados todos los servicios relacionados. Usted puede terminar los servicios de Archers en cualquier momento Para consultas adicionales sobre Archers y sus servicios de agente registrado, por favor póngase en contacto con el equipo de Olpays.

En el caso de que la sociedad registrada en el Reino Unido se disuelva, ya sea voluntaria o involuntariamente, es su responsabilidad notificar a Archers. Hasta que se notifique a Archers, los servicios de Archers continuarán renovándose. Usted entiende que bajo ninguna circunstancia Olpays asume ninguna responsabilidad por cualquier daño o inconveniente causado o presuntamente causado por la terminación de los servicios con Archers o por la formación, registración, funcionamiento, mantenimiento o disolución de la sociedad registrada en el Reino Unido.

En el caso de que su relación con Olpays termine por cualquier razón, eso no quiere decir que su sociedad registrada en el Reino Unido está disuelta, ni que los servicios de Archers finalizan. En tal caso, usted es el exclusivo responsable de tratar directamente con los organismos del Reino Unido y con Archers.

6. Indemnidad

Además de las obligaciones de indemnidad establecidas en el Contrato de Servicios, usted acepta defender, indemnizar y mantener a Olpays y Archers, así como los funcionarios, accionistas, empleados y agentes de cada uno de y contra cualquier reclamo, litigio, demanda, pérdida, responsabilidad, daño, acción o procedimiento que surja de o en relación a (a) el incumplimiento de cualquier disposición de este Acuerdo o del Contrato de Servicios; (B) cualquier disputa entre usted y sus clientes; o (c) el uso de los servicios de una manera ilegal, que viole la ley aplicable o que genere un perjuicio ilegítimo a terceros.

7. Declaraciones y garantías

Además de las declaraciones y garantías del Contrato de Servicios, usted nos declara y garantiza que (a) ha obtenido las debidas autorizaciones para aceptar el presente Acuerdo; (B) obtendrá el consentimiento de sus clientes para proporcionarnos la información que se describe en el presente Acuerdo y el Contrato de Servicios; y (C) cumplirá con la ley aplicable y no utilizará los servicios de una manera que sea ilegal o pueda ser considerada engañosa para sus clientes o terceros.

Nosotros y nuestros licenciatarios poseemos todos los derechos, títulos e intereses, incluyendo todos los derechos de autor, patentes, marcas, secretos comerciales y otros derechos de propiedad intelectual, en y para el Servicio Olpays Crossborder y todas las marcas de Olpays. Únicamente se le concede una licencia limitada a utilizar el servicio de Olpays Crossborder para los fines descritos en este documento de una manera consistente con la Documentación. A excepción de lo expresamente establecido en el presente documento, ninguna licencia, propiedad u otro interés son otorgados o transferidos en virtud del presente Acuerdo.

Olpays declara y garantiza que prestará el servicio Olpays Crossborder (a) de una manera consistente con el presente Acuerdo y la Documentación y (b) utilizará la información personal proporcionada por usted de conformidad con este Acuerdo y la Política de Privacidad.

EXCEPTO LO EXPRESAMENTE ESTIPULADO EN ESTE ACUERDO, EL SEVICIO OLPAYS CROSSBORDER SE CONSIDERARÁ PRESTADO POR OLPAYS BAJO LA MODALIDAD “EN LA CONDICIÓN EN QUE SE ENCUENTRA” (AS-IS) Y SIN GARANTÍA ALGUNA, EXPRESA O IMPLÍCITA, DE NINGÚN TIPO.

8. Limitaciones de responsabilidad

EN NINGÚN CASO OLPAYS SERÁ RESPONSABLE POR LUCRO CESANTE O CUALQUIER DAÑO INDIRECTO, PUNITIVO, INCIDENTAL, ESPECIAL, O CONSECUENCIAL SUFRIDOS POR UD. O TERCEROS Y DERIVADOS DE, EN RELACIÓN CON, O RELACIONADOS A ESTE ACUERDO, EL SERVICIO DE OLPAYS CROSSBORDER, O CUALQUIER OTRO SERVICIO DE OLPAYS, INCLUYENDO SIN LIMITACIÓN EL USO, LA IMPOSIBILIDAD DE USO, O LA NO DISPONIBILIDAD DE SERVICIOS. BAJO NINGUNA CIRCUNSTANCIA OLPAYS SERÁ RESPONSABLE POR DAÑOS A PERSONAS O COSAS; O PÉRDIDAS RESULTANTES DE HACKEOS, MANIPULACIONES U OTROS ACCESOS NO AUTORIZADOS AL SERVICIO CROSSBORDERS, A LOS SERVICIOS DE PROCESAMIENTO DE PAGOS DE OLPAYS, A CUALQUIER OTRO SERVICIO PROVISTO POR OLPAYS O A LA INFORMACIÓN QUE UD. NOS PROVEA EN EL MARCO DE LOS SERVICIOS.

OLPAYS NO TEDRÁ RESPONSABILIDAD DE NINGÚN TIPO POR: (A) DAÑOS PERSONALES O MATERIALES, DE CUALQUIER NATURALEZA, RESULTANTES DE USO DEL SERVICIO DE OLPAYS CROOSBORDER U ​​OTROS SERVICIOS DE OLPAYS; (B) EL ACCESO NO AUTORIZADO A SERVIDORES UTILIZADOS ​​EN RELACIÓN CON EL SERVICIO DE OLPAYS CROSSBORDER U OTROS SERVICIOS DE OLPAYS Y A CUALQUIER INFORMACIÓN PERSONAL ALMACENADA EN LOS MISMOS; (C) CUALQUIER INTERRUPCIÓN O CESE DEL SERVICIO DE OLPAYS CROSSBODER U ​​OTROS SERVICIOS DE OLPAYS; (D) CUALQUIER ERROR DE SOFTWARE, VIRUS, TROYANOS U OTRO CÓDIGO DAÑINO QUE PUEDA TRANSMITIRSE A TRAVÉS DE LOS SERVICIOS DE OLPAYS CROSSBORDER U OTROS SERVICIOS DE OLPAYS; (E) ERRORES, INEXACTITUDES U OMISIONES DE INFORMACIÓN, O CUALQUIER PÉRDIDA INCURRIDA COMO RESULTADO DE LOS MISMOS O DEL USO DE LOS SERVICIOS DE OLPAYS; (F) INFORMACIÓN TRANSMITIDA A TRAVÉS DE LOS SERVICIOS DE OLPAYS QUE SEA DIFAMATORIA, OFENSIVA O ILEGAL; O (G) LA CONDUCTA DE CUALQUIER TERCERO.

SIN PERJUICIO DE LO ANTERIORMENTE ESTABLECIDO, LA RESPONSABILIDAD MÁXIMA DE OLPAYS, ESTARÁ LIMITADA A LOS DAÑOS DIRECTOS EFECTIVAMENTE SUFRIDOS Y A TODO EVENTO NO SUPERARÁ EN TOTAL DE LO PAGADO POR UD. PARA EL USO DE OLPAYS CROSSBORDER DURANTE EL PERIODO DE TRES (3) MESES INMEDIATAMENTE ANTERIORES AL HECHO CAUSANTE DEL RECLAMO.

ESTA LIMITACIÓN DE RESPONSABILIDAD APLICA INDEPENDIENTEMENTE DE LA TEORÍA LEGAL EN QUE SE BASE EL RECLAMO, INCLUSO SI OLPAYS HA SIDO ADVERTIDO DE LA POSIBILIDAD DE TAL DAÑO.

9. Misceláneas

a. Plazo, terminación, y efectos de la terminación: Este Acuerdo entrará en vigencia al momento en el que recibamos su Solicitud Crossborder y terminará cuando sea terminado por usted o por nosotros conforme lo previsto en el presente Acuerdo o el Contrato de Servicios. La terminación del Contrato de Servicios por cualquier razón automáticamente terminará el presente Acuerdo. Podemos terminar unilateralmente el presente Acuerdo (a) si Ud. incumple el presente Acuerdo; (b) si su participación en Olpays Crossborder presenta, a nuestro exclusivo criterio, un riesgo no aceptable; (c) si Ud. se ve sujeto a un procedimiento de quiebra voluntaria o involuntaria, a una solicitud de concurso o si entra en estado de insolvencia; (d) si nos lo requiere Archers o alguno de los Socios; o (e) si es requerido por orden judicial o legal, o por la legislación aplicable. Como se ha indicado anteriormente, recuerde la terminación de los Servicios Crossborder no disolverá automáticamente la sociedad registrada en el Reino Unido ni los servicios de su agente registrado.

Todas las disposiciones que supongan una continuidad de las obligaciones establecidas en el presente sobrevivirán la terminación de este Acuerdo.

b. Resolución de conflictos; Acuerdo de arbitraje: Las partes harán sus mayores esfuerzos para resolver amigablemente cualquier disputa que surja bajo este Acuerdo. En caso de surgir cualquier desacuerdo, controversia o conflicto respecto de la interpretación o cumplimiento del Acuerdo, las Partes acuerdan expresamente llevar adelante un proceso inicial de mediación durante un plazo de 30 días corridos, sometiéndose a las Reglas de Procedimiento y Código de Ética del Centro Empresarial de Mediación y Arbitraje (Asociación Civil), con sede en la Ciudad de Buenos Aires, República Argentina. Las Partes podrán extender este plazo. En el caso en que no hubiesen llegado a un acuerdo, la disputa o los aspectos parciales no resueltos de la misma, serán sometidos al arbitraje de acuerdo a las normas del aludido Centro. El laudo arbitral podrá ser ejecutado en cualquier jurisdicción en que la parte tenga bienes o en la que pueda ser localizada, y las partes en este acto renuncian irrevocablemente, en la mayor medida permitida por la ley, a esgrimir cualquier defensa respecto del reconocimiento y ejecución del laudo arbitral basándose en la invalidez del sometimiento a arbitraje, o en la constitución impropia del tribunal arbitral (si ha sido constituido conforme a este Artículo).

Para cualquier acción judicial que deba interponerse con motivo del procedimiento arbitral, y para la ejecución del laudo, serán competentes los Tribunales Ordinarios de la Ciudad de Buenos Aires.

c. Cesión: Usted no puede ceder o transferir en ninguna forma este Acuerdo o el Contrato de Servicios sin el consentimiento expreso de Olpays por adelantado.

d. Acuerdo completo: Este Acuerdo constituye el acuerdo completo entre usted y nosotros con respecto al Servicio Olpays Crossboder. Excepto cuando se indique expresamente en un contrato independiente debidamente ejecutado por nosotros, si existe algún conflicto entre este Acuerdo y cualquier otro acuerdo relacionado con el Servicio Olpays Crossboder, prevalecerá este Acuerdo. Estos términos y condiciones describen toda nuestra responsabilidad hacia usted y exponen sus recursos exclusivos con respecto al Servicio Olpays Crossborder. Si alguna disposición de este Acuerdo (o parte del mismo) se considera inválida o no ejecutable según el derecho aplicable, deberá ser sustituida por otra que mantenga su espíritu en la medida de lo posible mediante una interpretación de buena fe en virtud de la ley aplicable; las disposiciones restantes continuarán en pleno vigor y efecto.
